Chapter 11 - The Fall of Thorne Capital

The silence in the boardroom was so thick that the hum of the air conditioner sounded like a jet engine.

Marcus Thorne stood up from his chair, his fists clenched, his face flushed with purple rage.

"Romano, you have no standing in this building," Marcus snarled, his voice trembling with fury.

"You are a syndicate thug trespassing on private corporate property."

"I will have the Governor's office suspend your hotel licenses by midday."

Dante pulled a gold fountain pen and a sealed document from his inside pocket and tossed it onto the center of the marble table.

"Read the title on that filing, Marcus," Dante said calmly.

Arthur Holloway, the senior board member, reached out and picked up the paper with shaking fingers.

"This is an emergency debt acquisition indenture," Holloway whispered, his eyes widening in shock.

"At six-fifteen this morning, Romano Capital Management purchased all outstanding senior secured debt notes of Whitmore Development from the Bank of America."

"Every dollar of debt Grant Whitmore owed has been consolidated under Dante Romano's personal holding company."

Dante looked directly at Julian, whose breathing had become shallow and frantic.

"I am the sole senior creditor of this corporation, Julian."

"Which means no merger, no transfer of shares, and no restructuring can occur without my explicit personal signature."

Julian’s eyes darted frantically toward his father, the panic in his chest rising to suffocating levels.

"That doesn't matter!" Julian shouted, his voice cracking into a desperate screech.

"The shares! Grant signed his voting proxy to Thorne Capital!"

"We hold sixty percent of the voting equity!"

"We can vote to repay Romano's debt notes over forty years!"

Claire stepped up to the head of the table, placing the titanium briefcase directly between Julian and Marcus.

She clicked the twin combination locks open with a sharp, echoing snap.

She pulled out Eleanor Vance’s original corporate charter and slammed it down on the table with enough force to rattle the crystal glasses.

"My father doesn't own sixty percent of this company, Julian," Claire declared, her voice cutting through the room like a broadsword.

"He doesn't even own twenty percent."

She turned to the board members, pointing at the signature schedule.

"Under Section 14B of the Vance Trust, my mother instituted an automatic revocation clause."

"The moment Grant Whitmore attempted to coerce my signature or encumber my shares without my independent legal consent, every share he held was revoked."

"All sixty percent of the voting equity reverted to me at midnight last night."

Claire turned her eyes back onto Julian, her expression cold and merciless.

"You spent seven months courting me, Julian."

"You thought you were dealing with a naive socialite who would sign whatever papers you put in front of her."

"You tried to drug me in my dressing suite."

"You sent armed mercenaries to kidnap me from Dante’s hotel."

"And you tried to use corrupt police commanders to lock me in an asylum."

Claire reached into the briefcase and pulled out the micro-cassette tape, setting it beside the charter.

"Inside this case are ten years of wire transfer logs documenting every dirty dollar Marcus Thorne laundered through our South Side developments."

"There are audio recordings of my mother detailing your father’s extortion schemes."

"And there is a full forensic audit proving Thorne Capital has been insolvent for six months."

The doors of the boardroom swung open once again.

Special Agent Miller from the Federal Bureau of Investigation stepped into the room, flanked by six armed agents and two federal prosecutors from the Northern District of Illinois.

Marcus Thorne’s knees buckled, and he sank heavily back into his leather chair, the arrogance completely draining from his weathered face.

"Julian Thorne and Marcus Thorne," Agent Miller announced, unfolding a federal arrest warrant.

"You are under arrest for conspiracy to commit securities fraud, interstate wire fraud, witness tampering, and attempted kidnapping."

"You have the right to remain silent."

Julian looked at the federal agents, then at Claire, and finally at Dante Romano.

A look of rabid, cornered animal hatred distorted Julian’s handsome features.

He reached inside his tuxedo jacket, lunging forward across the marble table toward Claire with a silver pen-knife concealed in his palm.

"You ruined everything, you ungrateful bitch!" Julian screamed.

Before Julian could take two steps, Dante Romano moved with blinding, terrifying speed.

Dante grabbed Julian’s wrist, twisting the joint with a sickening, audible snap that echoed through the room.

The silver knife clattered harmlessly onto the black marble.

Dante slammed Julian’s face down onto the cold surface of the table, pinning him with one hand behind his neck.

Julian let out a high-pitched shriek of agony, his cheek pressed flat against the stone where he had planned to sign away Claire’s life.

Dante leaned down, his lips inches from Julian’s ear, his voice dropping into a lethal, venomous whisper.

"I told you last night, Julian."

"No one touches something under my protection and walks away whole."

Dante released him with a shove of pure disgust.

Two federal marshals grabbed Julian, hauling him to his feet and slamming steel handcuffs around his broken wrist.

Julian sobbed openly, tears and saliva dripping onto his Savile Row suit as they dragged him toward the elevator.

Marcus Thorne was escorted out in silence, his head hanging low, his billion-dollar empire turning to dust before his eyes.

Grant Whitmore stepped forward, his eyes red with weeping.

He looked at Claire, his voice barely audible.

"Claire... I am so sorry."

Claire looked at her father for a long, quiet moment.

"The federal prosecutors are waiting for your statement in the lobby, Grant," Claire said quietly.

"Sign your confession."

"Tell them the truth about what you did to my mother."

"And then don't ever contact me again."

Grant closed his eyes, bowed his head in complete defeat, and followed the agents out of the room.

The boardroom fell into an astonished, breathless silence.

The twelve remaining board members sat frozen in their seats, staring at Claire Whitmore with newfound terror and profound respect.

Claire pulled out the leather executive chair at the head of the table.

She sat down, resting her hands flat against the polished black marble.

She looked across the table at Dante Romano, who stood watching her with a faint, proud smile on his lips.

"Gentlemen," Claire said, addressing the silent board of directors.

"Meeting is adjourned."

"We have a company to rebuild."
