Chapter 4 - The Anatomy of a Corporate Takeover

Ethan felt the oxygen evacuate from his lungs.

The air in the room suddenly felt freezing cold.

“What did you say?” Ethan gasped, his eyes darting frantically between Declan and the quiet attorneys.

Declan walked over to the table and rested his palms against the back of Grace’s chair.

The gesture was not romantic.

It was an unmistakable display of absolute corporate alignment.

“Your three largest angel investors—the Harrington Trust, Mercer Capital, and Douglas Vance—held nineteen percent of the float,” Declan explained.

“For eighteen months, you kept them pacified with inflated quarterly dividend forecasts.”

“Forecasts based on revenue projections that your chief financial officer knew were completely fraudulent.”

Declan reached into his inner suit pocket and produced a thin memory drive, placing it on the table.

“Three days ago, Pierce Global acquired sixty percent of Mercer Capital’s distressed debt portfolio.”

“In exchange, they surrendered all voting proxies in Calloway-Sterling to my office.”

Declan looked down at Grace with a calm nod.

“Grace controls forty-nine percent,” Declan continued.

“I now control nineteen percent.”

“Together, our coalition holds sixty-eight percent of all voting shares in your enterprise.”

“That constitutes an absolute, veto-proof majority under Delaware corporate law.”

Ethan’s knees buckled slightly.

He reached out with one trembling hand and caught the edge of the walnut table to steady himself.

“You... you colluded with Pierce?” Ethan stammered, staring at Grace with wild, disbelieving eyes.

“You went behind your husband’s back to hand my life’s work to an outsider?”

Grace looked at him, and for the first time, a sharp, cold fire sparked in her gaze.

“Your life’s work?” Grace repeated, her voice dropping into an icy register.

“My grandfather built the foundation of this company fifty years before you ever set foot in Boston.”

“My family gave you the capital, the distribution contracts, and the social standing you craved.”

“And how did you repay that trust, Ethan?”

Grace stood up from her chair slowly, supporting her weight with one hand against the armrest.

Her pregnant silhouette was commanding, majestic, and entirely terrifying in its poise.

“You left me alone in a high-risk pregnancy ward three weeks ago while I had pre-term contractions,” Grace said quietly.

The room fell into an unbearable, suffocating silence.

Even the attorneys lowered their eyes, unable to look at the sheer depravity of Ethan’s betrayal.

“You told me you were in Chicago meeting freight union representatives,” Grace continued.

“While I was attached to a fetal monitor praying our son would survive the night, you were on a yacht in Cabo with Vanessa.”

Vanessa pressed both hands against her mouth, sobbing silently against the mahogany door.

Ethan’s face went completely bloodless.

“Grace... I didn’t know the contractions were serious... the doctor said—”

“The doctor reported directly to me,” Grace cut him off cleanly.

“And my personal security team photographed you boarding that private jet at Hanscom Field forty minutes after you kissed my forehead and told me to rest.”

Grace took one slow, deliberate step toward Ethan.

“You did not betray a business partner, Ethan.”

“You betrayed your wife.”

“You abandoned your unborn child.”

“And you dared to bring your mistress to the very resort where we spent our honeymoon four years ago.”

Ethan looked around the room, desperately looking for someone to appeal to.

“Marcus,” Ethan pleaded, looking at the family attorney.

“Marcus, you’ve represented my family for a decade. You can’t let her do this. The company will collapse under public scandal!”

Marcus Vance did not even blink.

“Mr. Calloway, the press release detailing your resignation due to ‘personal health reasons’ has already been drafted,” Vance stated flatly.

“If you sign the voluntary surrender of your operating shares tonight, Pierce Global will honor the baseline book buyout.”

“You will leave with thirty million dollars and your freedom.”

“And if I refuse?” Ethan snarled, his voice rising in desperate defiance.

“If I fight you in court? If I contest every single signature?”

Declan Pierce leaned forward, his steel-gray eyes narrowing like a predator ready for the kill.

“If you refuse,” Declan said, his voice dropping to a deadly whisper, “the forensic audit goes directly to the United States Attorney’s Office for the District of Massachusetts.”

“At eight o’clock tomorrow morning.”

“Wire fraud.”

“Securities manipulation.”

“Embezzlement of corporate funds exceeding three million dollars.”

Declan smiled coldly.

“You will spend the next seven to ten years in a federal penitentiary in Otisville, Ethan.”

May you like

“And your son will know his father only through glass partitions during visiting hours.”

Ethan dropped into the nearest empty chair, his hands buried in his hair, completely shattered.
